Prior notification of a concentration (Case M.8073 - Advent International/Bain Capital/Setefi Services/Intesa Sanpaolo Card) (Text with EEA relevance)

On 5 July 2016, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which funds managed by Advent International Corporation (‘Advent International’, the United Kingdom) and funds managed by Bain Capital Investors, L.L.C. (‘Bain Capital’, the United Kingdom), acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control over Setefi Services SpA (‘Setefi Services’, Italy) and Intesa Sanpaolo Card d.o.o. (‘ISP Card’, Croatia), by way of purchase of shares.
The business activities of the undertakings concerned are:
Advent International: private equity investor with holdings in various sectors, including industrial, retail, media, communications, information technology, internet, healthcare and pharmaceuticals,
Bain Capital: private equity investment firm investing in information technology, healthcare, retail and consumer products, communications, financial and industrial/manufacturing,
Setefi Services and Intesa Sanpaolo Card: operators of in-house card payment processing platform of Intesa Sanpaolo banking group.
On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.
The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
